Welcome to SedimentZer0 LLC (“SedimentZer0”, “we”, “us”, “our”). These Terms and Conditions (“Terms”) govern the provision of all cargo hold cleaning and related services (“Services”) provided to any vessel, client, agent, owner, or operator (“Client”, “you”). By engaging our Services, you agree to be bound by these Terms.
1. Quotes and NegotiationAll quotes provided by SedimentZer0 are prepared based on the initial information supplied by the Client. While these quotes represent a fair estimate of the costs, all terms, including pricing and scope of work, are subject to discussion and are considered negotiable until a final Service Agreement is executed.
2. Payment Terms2.1. Deposit: A non-refundable deposit of fifty percent (50%) of the total quoted price is required upon acceptance of the Service Agreement and before any work commences. This deposit secures your booking and allows for the allocation of personnel and resources. 2.2. Final Payment: The remaining fifty percent (50%) balance, along with any additional charges incurred, is due in full upon completion of the Services and prior to the vessel’s departure from port.2.3. Payment Methods: Payments can be made via [List Your Accepted Payment Methods, e.g., Wire Transfer, Credit Card, etc.]. 2.4. Late Fees: Any outstanding balance not paid before the vessel’s departure may be subject to interest at a rate of 1.5% per month or the maximum rate permitted by law.
3. Scope of ServicesOur Services include the cleaning of cargo holds to the standard agreed upon in the Service Agreement. This typically involves the removal of previous cargo residue, high-pressure washing, and final inspection to ensure readiness for the next cargo. The exact scope will be detailed in the specific quote and Service Agreement for each project.
4. Client ResponsibilitiesTo ensure the safety and efficiency of our Services, the Client agrees to provide the following at no cost to SedimentZer0: 4.1. Safe and unobstructed access to the vessel and all work areas. 4.2. Adequate lighting, ventilation, and a continuous supply of fresh water and electricity as required. 4.3. Safe disposal of all waste, residues, and cleaning materials in compliance with all local, national, and international environmental regulations (e.g., MARPOL). 4.4. Notification to SedimentZer0 of any known hazards, sensitive equipment, or specific vessel conditions.
5. Cancellations and Delays5.1. Cancellation by Client: Cancellations must be made in writing. If a service is canceled more than 48 hours before the scheduled start time, the 50% deposit may be credited toward a future service at our discretion. If canceled within 48 hours, the deposit is forfeited. 5.2. Delays: SedimentZer0 is not responsible for delays caused by weather, port operations, vessel-related issues, or other circumstances beyond our control. Additional charges may apply if our personnel are required to be on standby due to such delays.
6. Liability and Indemnification6.1. SedimentZer0 will perform all Services with professional care and skill. Our liability for any damage to the vessel arising from our direct negligence is limited to the total value of the service contract. 6.2. We are not liable for pre-existing damage, normal wear and tear, or damage to vessel coatings not designed to withstand standard high-pressure washing procedures. 6.3. The Client agrees to indemnify and hold harmless SedimentZer0, its employees, and agents from any and all claims, damages, liabilities, and costs arising from the Client’s negligence or breach of these Terms.
7. Service GuaranteeWe guarantee our work will meet the standards required to pass a standard third-party inspection for the agreed-upon next cargo. In the event a hold fails inspection due to an oversight in our cleaning process, we will take corrective action at our own expense. This guarantee is void if the failure is due to pre-existing conditions or issues outside the scope of our cleaning service.
8. Governing LawThese Terms and any dispute arising from them shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles.
9. Entire AgreementThese Terms, together with the specific Service Agreement for a project, constitute the entire agreement between SedimentZer0 and the Client and supersede all prior communications and understandings. Any modifications must be made in writing and signed by both parties.
